Mr. William W.L. Yuen, of Ching, Yuen & Morikawa concentrates in all aspects of the venture capital financing process. Ricardo S. Galindez concentrates his practice in the areas of business, technology and entertainment law. Examples of his work include:

  • Start-Up/Business: Formation and organization, non-disclosure and non-compete agreements, independent contractor agreements, contract review, negotiation and drafting, strategic planning, capital structures, equity financing, business planning and general corporate governance.
  • Technology: Negotiation, drafting and review of software license and support agreements, OEM and reseller agreements, services and development agreements, and website/internet policies.

  • Securities:
    Assists companies with public offerings and private placements, securities registration and exemptions, SEC reporting, NYSE listing, state blue sky laws, stock splits, stock transfers, proxy statements, and related securities compliance matters.
  • * Venture Capital:
    Assists emerging companies with capital raising transactions, including the offer and sale of preferred securities in series, bridge financing involving convertible instruments and warrants, and related financing matters. Assists companies in establishing and maintaining stock option plans, submitting State of Hawai‘i “Qualified High Technology Business” tax ruling requests, and organizing special purpose entities for Hawai‘i investment tax credit purposes.

    Assists in documenting transactions involving the merging, reincorporation, purchase and sale (stock and asset transactions) of companies.
  • Technology Contracts and Life Sciences:

Ms. Hiraoka received her B.B.A. from the University of Hawai‘i, where she was a member of Phi Eta Sigma, Phi Kappa Phi and Beta Gamma Sigma honor societies. Prior to entering law school, she worked in the advertising and marketing industry. Ms. Hiraoka received her J.D. cum laude from the William S. Richardson School of Law, where she received the CALI Excellence for the Future Award for secured transactions. She is a member of the Business Law Section of the Hawai‘i State Bar Association and participates in two of its subsections: the DCCA Work Group (focusing on legislation) and the Hawai‘i Venture Lawyers Work Group (focusing on venture law).

Law Offices of Jack R. Naiditch, Inc.
Jack Naiditch is a sole practitioner in private law practice in Paia, Maui and serves as a per diem judge for the District Family Court of the Second Circuit (Maui). Naiditch specializes in real estate, intellectual property, corporate and commercial transactions and related litigation. He was formerly a partner in the Honolulu/Maui law firm, Jaress & Rafetto. Naiditch was a general partner and vice president of research in two New York-based investment companies engaged in risk arbitrage and leveraged buyouts. He also served as vice president of mergers and acquisitions in a London-based investment banking firm specializing in mergers and acquisitions, public offerings and municipal financing. Naiditch was also a founder and Chief Executive Officer of a New York-based electronic music publishing company.

Darryl M. Taira, AAL, ALC
Darryl M. Taira is an attorney and accountant with over 20 years legal experience in business, tax, real estate and estate planning. Prior to becoming an attorney, he had practiced in two international accounting firms in audit and tax services. He represents start-up businesses as well as large multinational corporations, from areas of choice of entity, formation, employment, licenses, contracts, and business planning to corporate succession planning and ultimate sale. He also has assisted in the formation of high technology businesses and in completing and filing their applications to obtain certain State of Hawaii tax credits under Act 221. He is a frequent lecturer to various professional trade groups and other organization on all aspects of business, tax, real estate and estate planning.
