Goodsill Anderson Quinn & Stifel - Lori M. Hiraoka
Goodsill Anderson Quinn & Stifel, established in 1878, has grown with Hawaii
businesses to become Hawaii's largest law firm.
Lori M. Hiraoka concentrates her practice in the areas
of corporate, securities, venture capital, mergers and acquisitions,
technology contracts and life sciences. Examples of her work include:
- Corporate:
Assists companies with business formation, structure and governance. Advises
companies regarding corporate, partnership and limited liability company
law.
- Securities:
Assists companies with public offerings and private placements, securities
registration and exemptions, SEC reporting, NYSE listing, state blue sky
laws, stock splits, stock transfers, proxy statements, and related securities
compliance matters.
- * Venture Capital:
Assists emerging companies with capital raising transactions, including the
offer and sale of preferred securities in series, bridge financing involving
convertible instruments and warrants, and related financing matters. Assists
companies in establishing and maintaining stock option plans, submitting
State of Hawai‘i “Qualified High Technology Business” tax ruling requests,
and organizing special purpose entities for Hawai‘i investment tax credit
purposes.
- Mergers and Acquisitions:
Assists in documenting transactions involving the merging, reincorporation,
purchase and sale (stock and asset transactions) of companies.
- Technology Contracts and Life Sciences:
Assists companies with license agreements, confidentiality and invention
assignment agreements, feasibility study agreements, consulting agreements,
distribution agreements, supply agreements, and other technology contracts,
with a focus on the needs of life sciences companies.
Ms. Hiraoka received her B.B.A. from the University of Hawai‘i, where
she was a member of Phi Eta Sigma, Phi Kappa Phi and Beta Gamma Sigma
honor societies. Prior to entering law school, she worked in the advertising
and marketing industry. Ms. Hiraoka received her J.D. cum laude from
the William S. Richardson School of Law, where she received the CALI
Excellence for the Future Award for secured transactions. She is a member
of the Business Law Section of the Hawai‘i State Bar Association and
participates in two of its subsections: the DCCA Work Group (focusing
on legislation) and the Hawai‘i Venture Lawyers Work Group (focusing
on venture law).
